Dec 13, 2006 Windstream to split-off directory publishing business in a tax-free transaction

LITTLE ROCK, Ark. – Windstream Corporation (NYSE: WIN) has entered into an agreement to split-off its directory publishing business, Windstream Yellow Pages, in a tax-free transaction to affiliates of Welsh, Carson, Anderson & Stowe, a private equity investment firm that currently holds approximately 4.1 percent of Windstream common stock.

Nov 29, 2006 Windstream Corporation announces exchange offer for senior notes due 2013 and senior notes due 2016

LITTLE ROCK, Ark. – Windstream Corporation (NYSE: WIN) today announced that it has commenced an exchange offer for its outstanding 8.125 percent senior notes due 2013 and its outstanding 8.625 percent senior notes due 2016. These notes were originally issued July 17, 2006, in a private offering in an aggregate principal amount of $2,546,000,000. Holders of these notes may exchange them for an equal principal amount of a new issue of 8.125 percent senior notes due 2013 or 8.625 percent senior notes due 2016, as applicable, pursuant to an effective registration statement on Form S-4 filed with the Securities and Exchange Commission. Terms of the new notes are substantially identical to those of the original notes, except that the transfer restrictions, registration rights and special interest provisions relating to the original notes do not apply to the new notes.


Nov 09, 2006 Windstream reports record broadband customer growth in third quarter
LITTLE ROCK, Ark. – Windstream Corporation (NYSE: WIN) reported record broadband customer growth in its first quarterly earnings report as a public company. Windstream reported diluted earnings per share under Generally Accepted Accounting Principles (GAAP) of 43 cents, a 59 percent increase from a year ago that includes a non-cash after-tax gain of approximately $100 million related to the discontinuance of Statement of Financial Accounting Standard (SFAS) 71.
