Windstream announces merger update conference call

LITTLE ROCK, Ark. - Windstream Corporation (NYSE: WIN) will hold a conference call for investors on Sept. 7, 2006, at 7:30 a.m. CDT to provide an operational and financial update on the completion of the spinoff of Alltel's landline business and its merger with VALOR Communications Group, Inc. The call will provide details on the progress of integration activities and give financial guidance for the second half of 2006. Windstream also expects to make available ahead of the call combined quarterly historical pro forma financial information for 2005 and the first half of 2006.

As previously announced, Alltel will hold a conference call at 4 p.m. CDT on Aug. 2 to announce Alltel's second-quarter earnings results, which will include the results of Alltel's former wireline telecommunications operations and certain related businesses that now comprise part of Windstream.

In addition, Windstream expects to file a Form 10-Q related to VALOR's second-quarter results prior to Aug. 15.
